1. Scope and Acceptance
These Website Terms of Use (“Website Terms”) govern access to and use of https://spiltmedia.com and its public content (the “Website”), operated by Spilt Media, Inc., a Florida corporation (“Spilt Media,” “we,” “us,” or “our”).
By using the Website, you accept these Website Terms. If you do not accept them, do not use the Website.
These Website Terms govern public Website use only. They do not establish the scope, pricing, payment terms, ownership rights, or service obligations for paid client work. A signed proposal, order form, statement of work, recurring payment authorization, and any incorporated Client Service and Billing Terms govern paid services. Merely visiting the Client Service and Billing Terms page does not create a client agreement.
2. Eligibility and Authorized Use
You must be at least 18 years old and legally able to accept these Website Terms. You may use the Website for lawful informational and business purposes.
You may not interfere with the Website, attempt unauthorized access, introduce malicious code, scrape or overload the Website in a manner that impairs service, misrepresent your identity, violate another person’s rights, or use the Website unlawfully.
3. Informational Content
Website content is general business and marketing information. It is not legal, accounting, tax, financial, or other regulated professional advice. Examples, estimates, case studies, rankings, testimonials, and past results do not guarantee future results.
Spilt Media may update, correct, remove, or replace Website content without notice. You are responsible for evaluating information before relying on it.
4. Intellectual Property
The Website and its original text, design, graphics, code, trademarks, logos, and other content are owned by or licensed to Spilt Media and are protected by applicable law. Spilt Media grants you a limited, revocable, nonexclusive right to access and use the Website for its intended purpose.
You may not reproduce, sell, publish, modify, distribute, or create derivative works from protected Website content without prior written permission, except as permitted by law.
5. Third-Party Services and Links
The Website may link to or use third-party websites, software, maps, forms, analytics, scheduling, payment, social-media, or other services. Third parties control their own services, terms, privacy practices, and availability. A link or integration does not constitute an endorsement unless Spilt Media expressly says so.
6. SMS and Text Messaging
If you separately opt in to receive text messages from Spilt Media, message frequency varies and message and data rates may apply. Consent to marketing text messages is not a condition of purchasing services.
Reply STOP to cancel and HELP for assistance, or contact Spilt Media at 561-203-9290 or info@spiltmedia.com. After a valid STOP request, Spilt Media may send one confirmation message. Carriers are not responsible for delayed or undelivered messages.
The consent language presented at the point of collection controls the categories of messages you agree to receive. See the Privacy Policy for information about data handling.
7. Privacy
Spilt Media’s Privacy Policy explains how the Website collects, uses, and discloses information. By using the Website, you acknowledge the Privacy Policy. If a client agreement or data-processing addendum applies to paid services, that document controls the covered client data.
8. Disclaimer
To the maximum extent permitted by law, the Website is provided “as is” and “as available.” Spilt Media does not warrant that the Website will be uninterrupted, error-free, secure, or free of harmful components, or that its content will always be complete, accurate, or current. Nonwaivable legal rights remain unaffected.
9. Limitation of Liability
To the maximum extent permitted by law, Spilt Media and its officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages arising from Website use. Spilt Media’s aggregate liability arising solely from public Website use will not exceed the greater of $100 or the amount you paid specifically for Website access during the 12 months preceding the claim.
This limitation does not apply to liability that cannot lawfully be limited.
10. Indemnity
You will indemnify Spilt Media against a third-party claim arising from your unlawful Website use, infringement through content you submit, or material breach of these Website Terms, except to the extent caused by Spilt Media’s own breach, negligence, or willful misconduct.
11. Suspension and Termination of Website Access
Spilt Media may restrict or terminate access to the Website when reasonably necessary to address unlawful activity, abuse, security risk, or a material breach of these Website Terms. Provisions that by their nature should survive termination will survive.
12. Governing Law and Disputes
These Website Terms are governed by Florida law, without regard to conflict-of-law principles. Before filing a claim, you and Spilt Media will attempt in good faith for 30 days to resolve the dispute informally. Unless the parties agree otherwise in writing, exclusive venue will lie in the state courts located in St. Lucie County, Florida, or the applicable federal court serving that county.
13. Changes
Spilt Media may revise these Website Terms prospectively. The Website will display the updated effective date. Material changes will not retroactively alter a separately signed client agreement or recurring payment authorization.
14. Severability, Waiver, and Entire Agreement
If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. Failure to enforce a provision is not a waiver. These Website Terms and the Privacy Policy are the complete agreement concerning public Website use, but do not replace an applicable client agreement.
